Terms of Service

1. Agreement to Terms

By accessing or using the Ingesta platform ("Service") operated by Ingesta Ltd ("Ingesta", "we", "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of Service

Ingesta provides an AI-powered business automation platform. The Service includes:

  • DocuLoad: AI-powered document extraction that converts PDFs, images, and scanned documents into structured data.
  • MailCraft: AI-assisted email template creation with HTML conversion for email-client compatibility.
  • Ingesta AI Bot: Intelligent chatbots trained on your knowledge base for customer support and internal use.
  • AI Workflows: Visual automation builder to connect triggers, actions, and integrations without code.
  • AI Call Center: Voice agents powered by AI for phone support and customer interactions.
  • Media Library: Cloud storage for documents, images, and assets used across the platform.
  • RESTful APIs and webhooks for integration with external systems.
  • Multi-tenant organisation management with role-based access control.
  • Team collaboration features (Enterprise plan only).

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys.
  • All activity that occurs under your account or organisation.
  • Notifying us immediately of any unauthorised use of your account.
  • Ensuring all users within your organisation comply with these terms.

4. Acceptable Use

You agree not to:

  • Upload fraudulent, illegal, or misleading documents.
  • Attempt to access data belonging to other organisations.
  • Reverse-engineer, decompile, or attempt to extract the source code of our AI models or proprietary systems.
  • Use the Service to process documents that violate any applicable law or regulation.
  • Exceed rate limits or abuse the API in a manner that degrades service for other users.
  • Share API keys or account credentials with unauthorised third parties.

5. Pricing and Payment

Ingesta offers multiple pricing tiers as displayed on our website:

  • Free: Try each feature once (DocuLoad and MailCraft). No credit card required.
  • Pay-As-You-Go: £1 per AI transaction for DocuLoad and MailCraft only.
  • Pro (£199/month): 250 AI transactions with limited access to Chatbot, Workflows, and Call Center. No team features.
  • Enterprise (£499/month): Unlimited AI transactions, all features, team collaboration, and beta access to new features.

By subscribing to a paid plan, you agree to:

  • Pay all fees in accordance with the pricing plan you select.
  • Provide valid payment information through our payment processor (Stripe).
  • Accept that fees are non-refundable except where required by law.
  • Acknowledge that we may change pricing with 30 days' written notice.

For Pay-As-You-Go plans, billing is calculated per AI transaction. For Pro and Enterprise plans, billing is monthly. Enterprise users receive first access to beta features including calendar and task integrations.

6. Data Ownership

You retain full ownership of all documents, data, and content you upload to the Service. By uploading content, you grant Ingesta a limited licence to process, store, and transmit that content solely for the purpose of providing the Service. We do not claim ownership of your data and will not use it for any purpose other than delivering the Service.

7. AI Processing Disclaimer

Our AI-powered features are designed for high accuracy but are not infallible. You acknowledge that:

  • Data extracted by DocuLoad should be verified before being used for critical business decisions.
  • Emails generated by MailCraft should be reviewed before sending to recipients.
  • Ingesta AI Bot responses are based on the knowledge base you provide and may not cover all scenarios.
  • AI Workflows execute based on configured rules and may require monitoring for edge cases.
  • AI Call Center conversations are automated and may not handle all customer inquiries appropriately.
  • Ingesta is not liable for errors in AI-generated content that result in financial loss or business impact.
  • You are responsible for the final review and approval of all AI-processed outputs.

8. Service Availability

We aim to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or service interruptions caused by factors outside our reasonable control.

9. Intellectual Property

The Ingesta platform, including its design, code, AI models, branding, and documentation, is the intellectual property of Ingesta Ltd. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Ingesta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you have paid to Ingesta in the 12 months preceding the claim.

11. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Service will be revoked.
  • Your data will be retained for 30 days to allow export, after which it will be permanently deleted.
  • Any outstanding fees remain payable.
  • We may terminate your account immediately if you violate these terms.

12. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or a notice on our platform. Continued use of the Service after changes constitutes acceptance of the updated terms.
